Terms of Service

This is the first full capture of Videy's Terms of Service — the previous snapshot had no text to compare against, so the whole document is treated as new. The terms are heavily tilted toward the company: you give Videy a permanent, irrevocable license over every video you upload; all disputes go to private arbitration in Delaware; you give up class actions and jury trials; Videy can change the terms at any time with no notice; and you agree to pay Videy's legal costs if someone sues over your content. Videy also says its service is not available to people in the United Kingdom, alongside sanctioned countries.

Forever license over your videos that you can never cancelUploading a video hands Videy a permanent license to copy, edit, translate, publish, and…

Uploading a video hands Videy a permanent license to copy, edit, translate, publish, and distribute it. "Irrevocable" means you cannot take that permission back — deleting your video or leaving the site does not end it, and the survival section confirms the license outlives your account. The one limit is that the license must be used for running, promoting, or improving Videy.

“By uploading content, you grant Videy a perpetual, irrevocable, worldwide, non-exclusive, royalty-free license to reproduce, adapt, modify, translate, publish, publicly perform, publicly display, and distribute the content.”

What you can do — Don't upload anything you may later want fully pulled back — including videos of other people or work you might want to license or sell elsewhere.

If you have a dispute with Videy, you cannot take it to a normal court. A private arbitrator in Delaware decides it under American Arbitration Association rules, which usually means travel or remote hearings, filing costs, and no public record. The terms do not offer any way to opt out.

“Any disputes arising from these Terms shall be resolved through binding arbitration in Delaware under the rules of the American Arbitration Association (AAA).”

What you can do — If you're outside the US, check your national consumer law first — the terms admit mandatory local consumer protections still apply, and many countries let you sue locally regardless of this clause.

You give up the right to join with other users in a class action and the right to a jury. When harm is small for each person but spread across many users, group cases are often the only practical way to get anything back — on your own, the cost of arbitration can easily exceed what you'd recover.

“By using Videy, you waive the right to participate in class-action lawsuits or jury trials.”

Videy can rewrite these rules whenever it wants and does not have to tell you. Simply continuing to use the site counts as agreeing. That means you could be bound by terms you have never seen.

“Videy reserves the right to update or modify these Terms of Service at any time without prior notice. Continued use of Videy's services after any such changes shall constitute your consent to such changes.”

What you can do — Re-read the terms page yourself from time to time — no notice will be sent when they change.

The service comes with no warranty of any kind, and Videy says it isn't liable for lost data, lost profits, or even a hack that exposes personal information on its servers. On top of that, you promise to cover Videy's costs and lawyer fees if a claim arises from your use or your uploads. Together this shifts nearly all the financial risk onto you.

“Any unauthorized access to or use of our servers and/or any personal information stored therein.”

Videy can delete content at any time with no notice, can ban users at its sole discretion, and says it is not liable for the loss. There is no appeal process described and no way to get your content back.

“Videy reserves the right to suspend or permanently ban users who violate these Terms of Service or applicable law. This may include blocking access to our services at our sole discretion.”

What you can do — Keep your own copy of every video you upload — the terms explicitly make backups your responsibility.

Both the governing law and the arbitration location are Delaware, which is far away for nearly every user and applies law most people have no connection to. The content rules also require your uploads to be legal under Delaware state law. Oddly, the company is described as a New Mexico LLC, so the choice of Delaware isn't explained.

“These Terms of Service are governed by and construed in accordance with the laws of Delaware, U.S., without regard to its conflict of law principles.”

Videy lists countries where its service isn't available and puts the United Kingdom in the same sentence as North Korea, Iran, Syria, Cuba, and Sudan, plus a vague "and others". By using the site you are formally promising you aren't in any of them, and Videy can cut off your access at any time. UK users in particular may be making a promise they cannot keep.

“By accessing or using Videy's services, you represent and warrant that you are not located in, accessing from, or acting on behalf of any restricted jurisdiction.”

What you can do — If you're in the UK, be aware Videy says the service isn't available to you and your access can be blocked without warning.

The minimum age is 13, and anyone under 18 is promising a parent has agreed. You are also responsible for meeting any higher age limit your own country sets. Since no account is required to upload or view, none of this appears to be checked.

“If you are under 18, you represent that you have obtained parental consent.”

+ ADDEDFull terms captured for the first time

There was no earlier text on file, so every section below is recorded as new. These may not all be recent changes by the company — they are simply the first version we can see.

4
5## 1\. Acceptance of Terms
6
7By accessing or using the services provided by Videy, you agree to these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing Videy's services.

16
17## 3\. License to Videy
18
19Users retain all ownership rights to the content they upload to Videy. By uploading content, you grant Videy a perpetual, irrevocable, worldwide, non-exclusive, royalty-free license to reproduce, adapt, modify, translate, publish, publicly perform, publicly display, and distribute the content. This license is granted solely for the purpose of operating, promoting, and improving Videy's services.
+ ADDEDPermanent license over anything you upload

You keep ownership of your videos, but Videy gets a forever license to copy, edit, translate, publish, and share them. The license is limited to running, promoting, and improving Videy — but you can never take it back, even after you delete the video or leave.

20
21## 4\. Content Guidelines
22
23Users are solely responsible for the content they upload to Videy. Content must be legal under U.S. federal law, Delaware state law, and your local jurisdiction. The following are strictly prohibited:
+ ADDEDDetailed list of banned content

The terms spell out what you may not upload, including child sexual abuse material, non-consensual intimate images, threats, terrorism, fraud, drug sales, obscenity, and copyright infringement. Videy may also block content region by region.

24
25- **Child sexual abuse material (CSAM):** Content that depicts the sexual exploitation of minors (18 U.S. Code § 2251).
26- **Non-consensual intimate imagery:** Unauthorized sharing of explicit material (18 U.S. Code § 2261A, 11 Del. Code § 1335).
27- **Incitement to imminent lawless action:** Content intended to provoke immediate criminal acts (Brandenburg v. Ohio, 395 U.S. 444).
28- **True threats:** Speech constituting a serious intent to commit violence (Virginia v. Black, 538 U.S. 343).
29- **Terrorist activity:** Content that promotes, supports, or facilitates terrorism (18 U.S. Code § 2339A).
30- **Fraud and scams:** Content promoting fraud, identity theft, or financial crimes (18 U.S. Code § 1343, § 1028).
31- **Illegal drug sales:** Content facilitating the sale or distribution of controlled substances (21 U.S. Code § 841).
32- **Obscenity:** Material that is legally obscene under the Miller test (Miller v. California, 413 U.S. 15).
33- **Copyright infringement:** Unauthorized distribution of copyrighted material (17 U.S. Code § 501, § 512 - DMCA).
34
35**Local Laws:** We comply with applicable laws where we operate and may remove or restrict access to content in specific regions - including but not limited to the United States, Indonesia, Japan, the European Union, Canada, and Australia - when required to do so by valid legal process or when, at our discretion, such content appears to clearly violate local laws or poses legal risk.
36
37## 5\. Restricted Jurisdictions
38
39Videy does not operate, and its services are not available to users located in, accessing from, or ordinarily resident in certain high-risk or restricted jurisdictions. This includes, without limitation, countries and territories subject to international sanctions, trade restrictions, or widely recognized as high-risk for regulatory, security, or financial reasons, such as the United Kingdom, North Korea, Iran, Syria, Cuba, Sudan, and others.
+ ADDEDSome countries blocked, including the United Kingdom

Videy says its service is not available to people in or accessing from certain countries. The list groups the United Kingdom together with sanctioned countries such as North Korea, Iran, and Cuba, and you must promise you are not in any of them.

40
41By accessing or using Videy's services, you represent and warrant that you are not located in, accessing from, or acting on behalf of any restricted jurisdiction. Videy reserves the right to block or terminate access to users in such jurisdictions and to take any measures necessary to comply with applicable law, international regulations, or to mitigate legal, financial, or reputational risks.
42
43## 6\. User Accounts
44
45Videy may support user accounts, which can enhance your experience. However, creating an account is not necessary to upload or view videos. Users are solely responsible for maintaining the privacy and security of their accounts and any content they upload.
46
47## 7\. Content Moderation
48
49Videy does not guarantee the permanent availability of any uploaded content. We may remove content at any time, with or without notice. Users are responsible for keeping backups of their uploaded videos, as we are not liable for any loss of data.
+ ADDEDContent can be deleted and accounts banned at any time

Videy makes no promise your videos will stay up, can remove them without warning, and can suspend or permanently ban users at its own discretion. You are told to keep your own backups.

50
51Videy reserves the right to suspend or permanently ban users who violate these Terms of Service or applicable law. This may include blocking access to our services at our sole discretion.
52
53## 8\. No Warranty
54
55Videy provides its services "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee uninterrupted service, security, or error-free performance.
56
57## 9\. Limitation of Liability
58
59Videy, its affiliates, and their respective employees, agents, and representatives shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, goodwill, or other intangible losses resulting from:
+ ADDEDNo warranties and broad limits on what Videy owes you

The service comes with no guarantees at all, and Videy says it is not responsible for lost data, lost profits, or even a breach that exposes personal information stored on its servers.

60
61- (a) Your access to, use of, or inability to use Videy's services.
62- (b) Any unauthorized access to or use of our servers and/or any personal information stored therein.
63
64Videy is a neutral platform for user-generated content and is not responsible for any actions taken by users. We do not endorse, or guarantee the accuracy, legality, or reliability of any content uploaded to our platform. Users assume full responsibility for any claims or disputes arising from the content they upload or interact with.
65
66## 10\. Changes to Terms
67
68Videy reserves the right to update or modify these Terms of Service at any time without prior notice. Continued use of Videy's services after any such changes shall constitute your consent to such changes.
+ ADDEDVidey can change the terms at any time without telling you

There is no notice period and no email or banner promised. If you keep using the site after a change, you are treated as having agreed to it.

69
70## 11\. Governing Law & Dispute Resolution
71
72These Terms of Service are governed by and construed in accordance with the laws of Delaware, U.S., without regard to its conflict of law principles.
+ ADDEDDelaware law and Delaware venue

The rules of Delaware apply and arbitration happens there, even though the company itself is registered in New Mexico. For most users that means a faraway forum and unfamiliar law.

73
74Any disputes arising from these Terms shall be resolved through binding arbitration in Delaware under the rules of the American Arbitration Association (AAA). By using Videy, you waive the right to participate in class-action lawsuits or jury trials. Nothing in these Terms limits any mandatory consumer protections that may apply in your country of residence.
+ ADDEDDisputes go to arbitration; no class actions or jury trials

Any argument with Videy must be settled by a private arbitrator in Delaware instead of a court. You also give up joining group lawsuits and having a jury. The terms do say mandatory consumer protections in your home country still apply.

75
76## 12\. Age Restrictions
77
78Videy is intended for users who are at least 13 years old. By using our services, you affirm that you are at least 13 years of age. If you are under 18, you represent that you have obtained parental consent.
+ ADDEDAge 13 minimum, parental consent under 18

You must be at least 13, and if you are under 18 you are promising a parent said yes. Local law may set a higher age that you also have to meet.

79
80Users must also comply with the minimum age requirements of their local jurisdiction, which may be higher than 13.
81
82## 13\. Indemnification
83
84You agree to indemnify and hold harmless Videy, its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of Videy's services, your uploaded content, or your violation of these Terms of Service.
+ ADDEDYou agree to cover Videy's legal bills

If anyone brings a claim connected to your use of Videy or something you uploaded, you promise to pay Videy's costs, including lawyer fees.

85
86## 14\. Survival of Terms
87
88Any provisions of these Terms that by their nature should survive termination shall survive, including but not limited to: content licenses (Section 3), limitation of liability (Section 8), governing law and dispute resolution (Section 10), and indemnification obligations.
+ ADDEDSection numbers in the survival clause don't match

The survival section points to Section 8 for limitation of liability and Section 10 for governing law, but those are actually Sections 9 and 11. This looks like a drafting slip rather than a real change in your rights.

89
