DROPCATCH.COM TERMS AND CONDITIONS

DropCatch.com is an online service that allows users to backorder expiring domain names. This Agreement is between yourself ("you", "yourself", "user", "customer" and the like) and DropCatch.com ("This Site", "The Site", "DropCatch", "Service", "website" and the like). This Agreement sets forth the obligations between DropCatch and DropCatch customers regarding the use of DropCatch's website and services. By using DropCatch's website and services you acknowledge that you have fully read, understand and agree to these Terms and Conditions. Failure to strictly abide by these Terms and Conditions will result in suspension of your DropCatch and NameBright accounts and you will be prohibited from using DropCatch's and NameBright's website and services going forward

To use DropCatch.com you will be required to have an account at NameBright.com and agree to the NameBright Terms and Conditions, which is an ICANN accredited domain name registrar. All successful backorders and won auctions, once payment has been rendered, will be moved into your NameBright account for you to manage.

  1. Eligibility. By using DropCatch.com and its services, you represent and warrant that you are at least eighteen (18) years of age, you are of sound mind and have the ability, capacity, and legal status to form and enter into legally binding contracts under applicable law. You further represent and acknowledge that you are not previously barred from using any of DropCatch's or NameBright's services. Unless otherwise documented and approved by DropCatch, users are permitted use of only one single DropCatch account per address, per person, per company and per family. You are strictly prohibited from creating more than one account or creating any accounts with fictious contact information. Should you be identified as creating more than one DropCatch account without express permission from DropCatch, your accounts will immediately be suspended. You are not able to use DropCatch if you have been previously suspended from either DropCatch and/or NameBright.com in the past.

DropCatch has the sole discretion to prohibit and reject anyone from using DropCatch.com at any point in time with or without notice.

  1. New Users. New DropCatch.com users may be subject to an introduction period in which the account will be restricted to the number of auctions they are permitted to participate in. New users will be required to demonstrate a history of good use on DropCatch.com with valid and timely payments before they will be granted full access to DropCatch.com and allowed to participate in more concurrent auctions at any time. DropCatch reserves full rights to adjust the "new user" parameters of its systems from time to time and on a case-by-case basis, without updating its terms, to protect all users of the system from potential non-payment and/or potential fraud.

  2. Account Verification. All customers are required to verify their account before they can participate in any auction on the platform. Customers will be notified what exact verification requirements DropCatch will require during the sign-up process. Forms of verification may include, but are not limited to: phone number verification; email verification; high quality color scan or photo of an official government issued identification card, such as a passport or driver's license; a color "selfie image of the customer holding their official government issued identification card; adding a valid credit card to their DropCatch or NameBright account; requiring a deposit via credit card or other form of payment; and any additional verifications as deemed necessary. DropCatch reserves the right to revoke verification on previously verified accounts and require the user to provide updated verification information and documentation (i.e., re-verification) at DropCatch's sole discretion. Account verification is not instantaneous and can take time to complete. DropCatch.com reserves the right to refuse verification to any customer in its sole discretion and DropCatch has the right to request additionally information and perform additional verification at any point in time as it deems necessary. Failure to comply with account verification requirements and requests may result in a denial of a verified account and/or account suspension. DropCatch has the right to delay or extend the verification process at DropCatch's sole discretion. While DropCatch states on its website that verifications can take up to 72-hours that time frame is not a guarantee and a verification may in fact take much longer due to any number of reasons. DropCatch does not guarantee an account will be verified in any specific amount of time nor does DropCatch guarantee that your account will pass verification in time to participate in any desired auctions.

  3. Backorder and Registration of Domain Names. A backorder is a bid that is placed by a customer to notify DropCatch.com that the user wishes to buy an expiring domain name that will soon become available for registration by the respective registry. DropCatch then attempts to register domain names that users have placed backorders on as soon as they are made available for registration. There is no upfront fee for placing a backorder on a domain name; however, if DropCatch is successful in securing and registering a backordered domain name on your behalf, you will be required to pay for the domain name. By placing a backorder on DropCatch, you are expressly entering into a binding contract in which you agree to pay for the backordered domain in the event the domain is successfully registered on your behalf. You will not receive access to a domain until payment is rendered in full for the backordered domain name.

DropCatch makes all reasonable efforts to register customer's backordered domains. DropCatch cannot guarantee the successful procurement and registration of any backordered domain name(s). If DropCatch.com is not able to acquire a domain name you had on backorder you will not be charged for the backorder and will not have to pay any fee. You can cancel a backorder at any time prior to the Cut-Off Time when backorders are not accepted anymore, as detailed under the section Cut-Off Times' of this Agreement.

  1. Auctions and Backorders. DropCatch may offer domain names for sale through public auctions on the DropCatch platform. Domains offered for auction may originate from a variety of sources, including but not limited to: domain names successfully acquired as a result of customer backorders, domain names listed for sale by third-party sellers through the DropCatch Marketplace, domain names associated with registrar or registry expiration processes, or domain names otherwise obtained or made available by DropCatch or its partners. If multiple customers place a backorder on a specific domain, and DropCatch successfully acquires that domain, the domain will typically be placed into a public auction. These auctions allow all eligible DropCatch customers (excluding Corporate Partners) to bid on the domain even if a customer did not place an initial backorder. Public auctions will typically last anywhere from three (3) calendar days up to five (5) calendar days, unless otherwise specified on the platform. At the end of the auction the domain will be awarded to the highest bidder. The highest bidder and winner of the auction must successfully render full payment before they will be awarded care, control, and full ownership of the auctioned domain.

DropCatch.com, in its sole discretion and right, reserves the right to determine whether a domain will be placed into auction, to determine bidder eligibility, and to stop, suspend, cancel, modify, reschedule, or remove any auction from the DropCatch platform, for any reason whatsoever at any point in time, and in any manner that it sees fit. DropCatch is under no obligation to re-auction any domains nor is it under any obligation to allow an auction to proceed if there are circumstances that warrant the end of an auction. DropCatch reserves the right to remove bids placed on a domain auction if it determines fraud or other illegal or malicious activity has occurred.

a. Auction Extensions. DropCatch reserves the right to remove or extend any public auction as necessary at its sole discretion (even if the auction has already ended.) This includes, but is not limited to, any irregularity that may occur during the auction or other website downtime or inaccessibility by users of the platform. In rare circumstances, DropCatch may extend an auction even after the auction has ended and payment has been rendered and the domain has been delivered to the corresponding NameBright account for a domain name, due to website downtime, inability to access the website or for other unforeseen issues.

In the event a bid is placed within the final five (5) minutes of an active public auction, the time remaining on the auction clock will be re-set to five (5) minutes to permit other bidders of that auction to react to the most recent bid.

b. Backorders Are Not Final. DropCatch can pull back, remove, cancel, and issue a refund for a backordered domain, even after it has been paid for and delivered to the corresponding NameBright account for any reason. While these situations are rare, they do occur and DropCatch has the full right to cancel and void any backorder even after it has been fulfilled and fully paid for and pull the domain out of the corresponding NameBright account. In such a situation, the user will receive a full refund for said backorder.

c. Auction Minimum Bid Increments. DropCatch requires minimum bid increments when customers are placing bids in an active public auction. The minimum bid requirements are as follows:

  1. Discount Club. The Discount Club is a backorder program for customers interested in backordering multiple .Com and/or .Net domain names at rates far lower than that of the standard backorder price. This program is designed for customers that want to purchase many domains each day. The Discount Club employs a name your price model, allowing you to name your price for the Discount Club backorder between $15 and $58 USD for .Com and .Net domain names. A customer may place a Discount Club backorder in the amount of their choosing in this specific monetary range. DropCatch may offer lower prices to volume-based users. Discount Club details are as follows:

a. A successful Discount Club backorder will occur only when there are no regular priced backorders, no Corporate Partner backorders, and, in the event of multiple Discount Club backorders, when that user has the highest Discount Club backorder bid for that domain on that day. If you placed a successful Discount Club backorder you will be charged the bid amount you selected when submitting the Discount Club Backorder.

b. Discount Club backorders are considered third-tier backorders and receive third-tier ("Last") prioritization as explained in in this Agreement per section "Backorder Prioritization". This means that if there is a regular Full Priced backorder on a domain, or if there is a Corporate Partner backorder on a domain, the Discount Club backorder will be considered a failed Discount Club backorder and the customer will not be charged nor awarded the domain, and the domain will be awarded to one of the higher tiered prioritizations.

If you want to have the best chance at successfully capturing a domain name, it is advised to place a Full Priced backorder ($59 for .Com and .Net domains). Do not use the Discount Club as it is the very last priority. In the event of non-payment from a full-priced backorder, a domain name will not be awarded to a user who placed a Discount Club backorder.

c. Discount Club backorders do not trigger auctions.

d. If there are multiple Discount Club backorders, and there are not any regular priced backorders on a domain, nor are there any Corporate Partner backorders for that domain, the Discount Club backorder at the highest price will win the domain.

e. If DropCatch is unable to register the domain on behalf of the Discount Club customer, this will be considered a failed Discount Club backorder and the customer will not be charged. The customer will be notified of this failed backorder and given any relevant information pertaining to why the Discount Club backorder was not successful.

f. In the event two Discount Club backorders are placed at the exact same price, the user who chronologically placed the first backorder in time will be awarded the domain name, unless that first user later removed the Discount Club Backorder before the Cutoff Time as detailed in this Agreement.

  1. Backorder Prioritization. Backorder prioritization is as follows: 1) Full Priced backorders and auctions; 2) Corporate Partner backorders; 3) Discount Club backorders.

a. A Full Price backorder will have the first priority ("Highest" priority) and rights to obtaining a backordered domain. A Full Priced backorder will have precedent over any other type of backorder. (i.e., Corporate Partner backorders and Discount Club backorders.) You are strongly encouraged to use the Full Priced backorder option if you are seeking to backorder a valuable domain name.

b. If a Corporate Partner or a Discount Club member place a backorder, and another customer places a Full Priced backorder on the same domain, the Full Priced back order will receive the domain should DropCatch be successful in acquiring this domain name. A Full Price backorder will always receive priority and precedent and receive the domain over Corporate Partners and Discount Club backorders.

c. Likewise, if a Corporate Partner and a Discount Club customer place backorders on the same domain, but there are no Full Priced Backorders, the Corporate Partner will have priority over the Discount Club customer at obtaining the domain. If you participate in a Discount Club backorder you expressly agree that you understand Full Priced backorders and Corporate Partner backorders always take precedence when it comes to prioritization of which user will be awarded a domain. To get your best chance at getting a desired domain you must place a Full Priced backorder on that domain name. Do not use "Discount Club" backorder in such events as it has the lowest priority in the DropCatch system.

d. Auctions only occur if there are two or more Full-priced backorders on the same domain. There are no auctions if there are multiple backorders on the same domain between the three different prioritization groups, but not two Full Priced Backorders on that specific domain. Please see the following examples for clarification:

iIf a Corporate Partner places a backorder, and a single Full Priced backorder is placed, the domain will automatically go to the Full Priced backorder.

iiIf a Discount Club customer places a backorder and a Full Priced backorder is placed on the same domain, the domain will be awarded to the Full Priced back order.

iiiIf a Corporate Partner places a backorder and a Discount Club customer places a backorder on the same domain, but there are no Full Priced backorders, the domain will be awarded to the Corporate Partner.

ivIf two or more Discount Club customers place a backorder on the same domain, the domain award will follow the process set forth with relation to the Discount Club section of this Agreement. (Highest bid first, with any tie going to the first chronological bidder.)

vIf two or more Full Priced backorders are placed on the same domain, the domain will go into auction as set forth as a part of the Auctions section of this Agreement. Note: this is the only situation in which expiring domain names will go into public auction.

  1. Pricing Based on Top Level Domains. The pricing on DropCatch is in United States Dollars (USD). All prices on the DropCatch system are based on whole dollars. The standard, Full Priced backorder price on DropCatch for available extensions are listed below:

a. .Com, .Net, .Cc and .Tv Domain Names

iFull Priced Backorders: $59.00

iiDiscount Club Backorders are only available for .Com and .Net domains; Discount Club Backorders can be made on .Com and .Net domain names in the range of $15.00 to $58.00

b. .Org Domain Names

iFull Priced Backorders: Full Priced backorder are $15.00.

iiDiscount Club Backorders are not available on .Org Domain Names

c. identity.digital Domain Names

DropCatch reserves the right to offer promotions and discounts that vary from the above prices. DropCatch is not required to update such promotional prices and discounted prices in the Terms and Conditions.

  1. Cutoff Times. Domain names can be backordered on the DropCatch platform until specific cutoff times throughout the day. The cutoff times are different based on each domain name extension and when those domain names are dropped during the day:

a. .Com and .Net Domains: For .Com and .Net domain names dropping before October 1, 2026: You may backorder .Com and .Net domain names on the date each domain name is becoming available for public registration up to 15 minutes prior the start of the drop. The cutoff time is 15 minutes prior to Noon Mountain Standard Time. (10:45 AM PST, 11:45 AM MST, 12:45 PM CST and 1:45 PM EST)

For .Com and .Net domain names dropping on or after October 1, 2026: You may backorder .Com and .Net domain names on the date each domain name is becoming available for public registration up to 30 minutes prior to the start of the drop. The cutoff time is 11:30 Coordinated Universal Time (11:30 UTC). Because this cutoff is fixed to UTC, the equivalent local time shifts with daylight saving time; it is your responsibility to convert 11:30 UTC to your local time zone.

b. .Org Domains: You can backorder .Org domain names up until 12:45 Coordinated Universal Time. (12:45 UTC)

c. .Cc and .Tv Domains: You can backorder .Cc and .Tv domain names up until 1:45 AM Mountain Standard Time. (12:45 AM PST, 1:45 AM MST, 2:45 AM CST and 3:45 AM EST)

d. identity.digital Domains can be backordered up until backordered until the cutoff time of 12:45 UTC

You can additionally remove and cancel your previously placed backorders from the system up until the backordered domain's respective cutoff time. The cutoff time to remove backorders from the system is the same as the cutoff time to place backorders into the system.

  1. Marketplace Duration. Marketplace domains are domain names offered for sale by third-party sellers through the DropCatch Marketplace. The seller may determine the duration of the auction for these domains, subject to the rules of the platform. To see the exact end date, browse to the auction you are looking for and look for a "Time Left" area.

  2. Pre-Release Duration. Duration of pre-release auctions will vary depending on the date the domain name enters auction, with auctions ending between Monday through Friday, and auctions typically not ending on Saturday or Sunday Mountain Standard Time.

  3. Payments. All payments must be made within 10 days from the time the backorder was successful or the close of the auction. Specifically:

a. You are required to submit payment once you have a successful backorder or win an auction. If payment is not received by 9am MST the following day, your account will be placed into a restrictive mode preventing further use of the platform until such payment(s) have been rendered. This means you will not be able to participate in auctions until you have successfully paid for all pending orders and won auctions. Payment of the outstanding balance will immediately resume your ability to place backorders and bid in auctions from that point forward.

b. From day 5 through 9 after close of auction your account will be suspended and you will be unable to do anything but checkout the outstanding items in the cart.

c. If you fail to make payments within 10 days of successful backorder or the close of the auction, your account will permanently be closed, and the "Non-Payments" terms will apply.

d. DropCatch may extend or amend these terms on a case by case basis and in its sole discretion to any user to facilitate payment from the customer, but at no time is it required or obligated to do so.

  1. Non-Payments. A customer is legally obligated to make all payments for their backorders and winning auctions. By placing a backorder or participating in an auction, a customer is entering into a binding purchase agreement to pay for that specific item. DropCatch.com reserves the right to pursue full compliance with a customer's purchase agreement and may, in DropCatch's sole discretion, take any and all steps legally available including, but not limited to: sending the customer's outstanding balance to a collection agency; arbitration; or pursuing legal proceeding in the proper Court of law. Failure to make all necessary payments by the due date for domain backorders or auctions may result in a suspension of the nonpaying customer's DropCatch.com and NameBright.com accounts and relinquishment of all rights to any domains associated with such accounts.

  2. Unpaid Domains.

a. Unpaid Backorders. Any successful backorder which is not paid for by the customer will result in the customer forfeiting all rights to the backordered domain. The customer's DropCatch.com and NameBright.com accounts may be suspended and the unpaid for domain will either:

iBe returned by DropCatch to the registry;

iiTransferred or Sold to one DropCatch's Corporate Partners; or

iiiSold at public auction.

b. Unpaid Auctions. In the event a customer fails to pay for a domain they won in auction, the domain may be re-auctioned. If a domain is re-auctioned, all backorders placed on that domain prior to the start of the original auction will be entered into the re-auction as binding bids at the applicable backorder price, without any further action required by the customers who placed them. The highest bidder at the close of a re-auction is required to pay for the domain in accordance with this Agreement. The non-paying customer's DropCatch.com and NameBright.com accounts will be suspended indefinitely.

  1. Payment Methods. Any pending DropCatch orders for backordered and auctioned domains will automatically be attempted once a day by first attempting to draw from the customer's NameBright funded account. If these daily attempts fails or there are insufficient funds, DropCatch will then attempt to obtain payment from any credit card which a customer has placed on file with their NameBright or DropCatch account. Payments can also be made manually by using DropCatch's shopping cart and using one of the payment methods offered during online checkout. While DropCatch offers automatic payment options, it is the customer's sole responsibility to ensure payment is successfully completed before the 9AM MST cutoff time on the 4th day after close of auction. DropCatch is not responsible in the event payment is not successfully rendered in time, regardless of the reason.

Wire Payments. If you wish to initiate a payment via wire, you must contact support@dropcatch.com with the amount of the wire and to which domains the wire will be posted to. Keep in mind if payment is not received by the due date, you may forfeit the rights to the domain name and any payments may be refunded. It is therefore important to notify DropCatch support of any incoming wire transfers. Keep in mind international wires usually take extra time.

DropCatch accepts the following payment methods: credit card, debit card, wire transfer, and PayPal. DropCatch.com does not accept payment via check under any circumstances. Any checks sent to DropCatch will be destroyed without being processed, deposited or cashed.

By using DropCatch.com's platform and services, you agree that DropCatch.com may use any method available to process payment for any backorder or won auction. This includes but is not limited to: charging any and all credit cards the customer has saved to their NameBright.com/DropCatch.com account; and any funds available in the customer's NameBright.com funded account, or associated PayPal account.

Chargebacks. In the event DropCatch receives a chargeback on your order, your account will be suspended and DropCatch reserves the right to pull back any domains in your account. DropCatch further reserves the rights to pursue any legal remedies afforded to it associated with any customer's chargeback.

  1. Setoff and Withholding of Funds. DropCatch reserves the right, in its sole discretion, to withhold, delay, or apply any amounts otherwise payable to you under any DropCatch service (including but not limited to Marketplace proceeds) as a setoff against any amounts you owe to DropCatch, including unpaid backorders, auction wins, service fees, penalties, or other charges. DropCatch may apply such withheld amounts toward satisfaction of your outstanding obligations, and you shall remain liable for any balance still due.

  2. Refund Policy. There will be absolutely no refunds issued for successful backorders. Due to the costs associated with successfully registering a backordered domain name, a customer is not eligible to return and receive a refund or credit for a domain in which they successfully backordered and DropCatch successfully registered on behalf of the customer. There will further be no refunds for successful auctions. By participating in an auction, the customer acknowledges that they cannot return a domain won in an auction and will not receive any refund for a successfully won auction. Refunds will only be issued if the domains have been pulled back from your account due to DropCatch involvement. Should a customer who is not entitled for a refund attempt to file a chargeback, their DropCatch.com and NameBright.com accounts will immediately be suspended.

  3. Email Notifications. While DropCatch may send out email notifications, including outbid notifications and other relevant notices, DropCatch cannot guarantee a customer's email receipt on behalf of a third-party email provider nor is DropCatch responsible for any delivery issues from within DropCatch's internal systems. DropCatch is not responsible for a customer's nonreceipt of any email notifications from the system. DropCatch email notifications are a courtesy and not guaranteed. Customers should not rely on email notices as they are not guaranteed. If you want to win an auction you should monitor the auction in real time and not rely on such email notices.

  4. Verification of Customer Identity. In addition to the verification process set forth in this Agreement, DropCatch may require additional verification in certain situations, including but not limited to, customers placing high volumes of backorders or auction bids, suspicious bidding activity, and/or high bid values among other items. DropCatch reserves the right to require identity verification for any customer at any time at DropCatch's sole discretion.

  5. Customer Waivers; Warranties; Agreements. As a DropCatch customer you knowingly, voluntarily, and expressly agree that DropCatch does not have any obligation to verify or investigate any potential legal issues associated with a customer's backorder and registration of a domain name. As a DropCatch Customer you knowingly, voluntarily, and expressly agree that it is your sole responsibility, as the customer, to investigate any potential legal issue that may arise from your backorder, bid, and/or registration of a domain, including but not limited to, trademark and copyright infringement.

As a DropCatch customer you knowingly, voluntarily, and expressly agree that by using DropCatch.com and its services you assume all responsibility, including legal ramifications, that may incur when you backorder, bid on, and/or register a domain using DropCatch services. You further expressly agree to hold DropCatch harmless and indemnify DropCatch, its subsidiaries and parent companies from any legal issues or actions that may arise from your participation in backordering, bidding on, or registering a domain. You agree to use DropCatch.com and its services at your own risk and agree that all backorders and auctions are provided as is'. As a DropCatch customer you expressly disclaim all warranties from your voluntary use of this site and services.

By using DropCatch you knowingly, voluntarily, and expressly agree that you will not involve DropCatch.com, NameBright, its parent company TurnCommerce Inc, its officers, directors, employees and affiliates in any legal proceeding. You agree to indemnify, defend and hold harmless the aforementioned people and entities from any and all claims, damages, liabilities, costs and expenses, including legal fees and expenses arising out of or relating to domain names listed for sale on this site.

  1. Right of Refusal. DropCatch reserves the right to refuse service to anyone. DropCatch has the exclusive right to refuse to allow customers to place backorders, to suspend customer's accounts, and to cancel any services upon DropCatch's sole discretion. DropCatch additionally reserves the right to determine which domain names are listed, auctioned, removed, or otherwise made available on the platform at its sole discretion.

  2. DropCatch Warranties and Disclaimers. DropCatch hereby disclaims any and all warranties, implied or express, of any kind. This disclaimer includes but is not limited to: warranties of intended purpose; merchantability; title; non-infringement; and quality of services. DropCatch expressly disclaims any warranties and representations that a customer's backorder, auction bid, or registration of an Internet domain name using DropCatch's services will automatically protect or immunize that customer from third-party disputes, suspensions, cancellations, or transfers of the domain. DropCatch does not make any warranties that its services will provide the desired results or purposes of user. DropCatch makes no warranties that service will not be interrupted, free of error, or timely. By using DropCatch's services you expressly understand and agree that DropCatch does not make any warranty regarding any services or domains purchased by customers or any transactions entered using the DropCatch site and/or services.

By using DropCatch.com and DropCatch services you expressly agree that your domain names, account, and services are subject to cancellation, suspension, transfer, or modification pursuant to any of the provisions set forth in this Agreement and any regulatory laws, rules or regulations. This includes but is not limited to any mandates provided by the Internet Corporation for Assigned Names and Numbers (ICANN); any registry or registrar administration procedures; the Uniform Domain Name Dispute Resolution Policy (UDRP), any Court proceeding; or any mandated process or reason by any relevant authority. You further agree that DropCatch has the sole authority and discretion to cancel, suspend, transfer or modify any services, accounts, or domain name registrations should DropCatch receive notice, Court Order, or other information that requires such action.

  1. Customer Suspension. Any failure to abide by any provision of this agreement is a material breach of this Agreement. DropCatch may suspend any account with or without notice. DropCatch reserves the right to suspend any and all services and/or accounts for any breach of this agreement. Further, a customer's account may be suspended should they engage in what DropCatch considers any illegal conduct based on the Governing Law of this Agreement and/or any international law that DropCatch feels is being broken. Decisions regarding the suspension of a customer's account are the sole discretion of DropCatch and should a customer's account be suspended the account owner will be ineligible to use DropCatch's services in the future. DropCatch is a private program and DropCatch is under no obligation to service any customer for any reason should their account be suspended.

Any balances/fiscal amounts due to DropCatch upon an account suspension are due to the company immediately. DropCatch reserves any and all rights to take all corrective actions, including legal action, to remedy such deficiencies in payment.

DropCatch may, in its sole discretion, allow previously suspended users to re-activate their accounts. DropCatch recognizes that there may be unique situations where a customer was suspended, and that suspension could have been avoided. Any re-activations (aka un-suspensions) will be allowed on a case-by-case basis with DropCatch's investigation and sole discretion. Any re-activation will require additional verification steps on behalf of the suspended customer, and the verification needed by DropCatch will depend upon the circumstances that led to the initial account suspension.

  1. Shill Bidding. Shill bidding occurs when a person bids on a domain name with the intent to artificially increase the price of the domain to create the perception of an increased value and desire of the domain. Shill bidding also occurs when, with the seller's knowledge, an agent of the seller bids on the domain to create an active auction and raise the price of the auction.

Shill bidding is illegal and is prohibited on DropCatch.com. Any customer or auction participant who engages in shill bidding on DropCatch's platform will immediately be suspended and barred from DropCatch's site and prohibited from ever using DropCatch services in the future. This conduct will further be reported to the relevant criminal and legal authorities. This behavior will not be tolerated under any circumstances and anyone engaging in this activity is subject to both civil and criminal liability and prosecution.

  1. Gamification. You expressly agree to not use the systems or methods to try to manipulate or game auctions and/or the backordering process in any way. Any actions that are detected to be subject of gamification will result in the immediate cancellation of said account(s) without limits, guarantees, or warrants. In certain circumstances DropCatch will allow systems or methods, but such systems must first be presented to DropCatch and approved by DropCatch before they may be permitted. (Such as using programmatic methods to place last minute/second bids on your behalf.)

  2. Auction Endings. By and large, most auctions will end on Weekdays, not over Weekends, ending on between Monday and Friday, Mountain Time. The auction ending timing in the DropCatch platform may not be accurate for a variety of reasons, including but not limited to, a customer's system clock, server clock, Internet latency, or other issues. It is your responsibility to make sure your computer is outputting the accurate time remaining on auctions. DropCatch does not recommend waiting until the last second to place a bid. If you want to win an auction, place your bid early as a variety issues can occur during the last few minutes of the auction, sometime caused by high traffic to the site and demand for certain auctions.

  3. Bid Adjustments. DropCatch reserves the right to lower the maximum bid on an auction to the current high bid in the event of an error.

  4. Management of Domains. All domains acquired through a successful backorder or a successful high bid at auction will be managed at NameBright.com, which is an ICANN accredited registrar. All DropCatch customers will be required to have a valid NameBright account and all won domains will be transferred to the customer through their NameBright.com account. NameBright.com operates numerous registrars which DropCatch utilizes to successfully fulfill customer Backorders. No matter which of these registrars successfully acquires a domain, the management interface will be on the NameBright.com website. It is the customer's responsibility to login to NameBright.com to manage domain names, to renew the domain name registration each year and to make sure the customer has a valid payment method on file. Keep in mind domain names must be renewed each year and it is the customer's responsibility to fully manage and pay the renewal fees each year with NameBright or any other registrar you may use in the future. As with all domain names, each domain is registered for a specific period of time, and all domain names can expire. It is your responsibility to monitor the expiration date and renew the domain if you wish to continue with the registration. It is your responsibility to login to NameBright and ensure your domains have been properly delivered and manage the renewal process.

  5. General Data Protection Regulation (GDPR). By using DropCatch and its services you expressly agree that you have read and agree to both DropCatch.com's privacy policy as well as NameBright.com's privacy policy per the section of this agreement titled Additional Agreements'. Should you not agree to DropCatch's privacy policy or NameBright's privacy policy you agree that you will not use DropCatch's systems and services

  6. Auction Alias/Public Display Name. An auction alias is the name a customer uses to participate in DropCatch auctions. This alias will be publicly visible to anyone who looks at the auction. It is strongly recommended you choose an alias / pseudonym that does not provide sensitive or personal information. DropCatch reserves the right to force a customer to change an auction alias for any reason.

  7. Limitation of Liability. DropCatch, its affiliates, partners, and subsidiaries are not liable for any damages, including but not limited to loss of profits. This includes direct, indirect, special, incidental, or consequential damages. Under no circumstances will DropCatch be held responsible for any damages regardless of the alleged form of action. DropCatch hereby expressly disclaims any and all loss or liability resulting from a Customer's use of DropCatch.com and its services. DropCatch disclaims any and all loss of liability, including but not limited to: interruption of domain use and access; suspension, cancellation, or modification of domain name registration; failure to acquire a domain name; non-delivery or delivery of data; use of username and password; errors or misstatements of any kind; events beyond the control of DropCatch; and application of any applicable dispute policy.

  8. DropCatch's Right to Access Accounts. By using our Services and in accordance with our Privacy Policy, you expressly authorize DropCatch (including its personnel and agents) to access your account, domain registrations, and associated data when reasonably necessary to operate, secure, or improve our Services. This access may occur to resolve technical issues, correct administrative or provisioning errors, preserve the integrity and stability of our systems and domain registry, investigate or prevent fraud, abuse, or security threats, comply with lawful requests (including court orders, subpoenas, or ICANN-mandated procedures), defend against legal claims, or address circumstances that jeopardize our operational continuity, reputation, or user trust. We will limit such access to the minimum scope and duration required to fulfill these purposes, treat confidential information responsibly, and disclose details only when legally obligated or operationally essential. Your continued use of Services constitutes acknowledgment of this authorization, permitting DropCatch to exercise this discretion for technical, legal, or business-critical needs as determined in good faith.

  9. Maximum Liability. By using DropCatch you acknowledge and agree that under no circumstances whatsoever will DropCatch be liable to any customer in any way for an amount greater than the lesser of a.) the total amounts paid to DropCatch/NameBright for services rendered, or b.) $1,000 United States Dollars. You agree that any liability will be strictly capped at $1,000 USD.

  10. Indemnity. You agree to release, indemnify, defend and hold harmless DropCatch, NameBright and any of its members, employees, officers, directors, agents, parent companies, affiliates and affiliate companies. You are responsible for all liabilities, claims, damages, costs and expenses, including reasonable attorneys' fees and expenses, relating to or arising out of (a) these Terms and Conditions or the breach of your warranties, representations and obligations under these Terms and Conditions; (b) any intellectual property or other proprietary right of any person or entity; (c) a violation of any of the operating rules or policies relating to the service(s) provided; or (d) any information or data you supplied to DropCatch and NameBright, including and without limitation, any misrepresentation in your user information. When threatened with suit or sued by a third-party, DropCatch may seek written assurances from you concerning your promise to indemnify the company and your failure to provide those assurances may be considered a material breach of these Terms and Conditions. DropCatch has the right to participate in any defense by you of a third-party claim related to your use of any of the DropCatch services, with counsel of its choice at its own expense. DropCatch shall reasonably cooperate in the defense at your request and your expense. You shall have sole responsibility to defend DropCatch against any claim, but you must receive prior written consent from DropCatch regarding any related settlement. The terms and provisions of this paragraph will survive any termination or cancellation of these Terms and Conditions.

  11. Additional Definitions. The following definitions help explain the use of this site.

a. Maximum Bid. A maximum bid is the top amount you are willing to pay for a domain. You will not pay any more than just above the next highest bidder. For example, if there are two people in an auction and Person A has a maximum bid of $450 and Person B has a maximum bid of $125, person A will get the domain for $135. ($10 higher than the second highest bid, as $10 is the minimum bid increment at the $101 to $200 bid range.)

b. Proxy Bid. A proxy bid is a bid that the system will place on your behalf if someone outbids you in an auction. Proxy bids are tied to Maximum Bids; your Maximum Bid is the highest amount that DropCatch.com will bid by proxy on your behalf.

c. Public Auction. A public auction is a competitive bidding process conducted on the DropCatch platform in which eligible users may place bids on a domain name. Public auctions may occur as the result of multiple backorders on a domain name or for domains otherwise offered for sale through the DropCatch platform. Auctions typically last anywhere from three (3) calendar days up to five (5) calendar days unless otherwise specified. Any registered and verified DropCatch customer may participate in any public auction, regardless of whether they placed an initial backorder on the domain subject to the public auction. The highest bidder will win the auction.

d. Purchased. When looking at backorders, a status of "Purchased" indicates that a backordered domain was successfully paid for.

e. High Bid. This is the highest bid placed in an auction and the customer who placed the high bid will be awarded the domain once payment is successfully rendered. During an active auction, this person may have a higher Maximum Bid than the amount shown. If someone has a high bid, this means nobody else has placed a higher maximum bid at that point in time.

f. Pending Delete. This is a domain name that has not yet been deleted or is not yet available to register. Should a customer place a backorder on a domain under this status, DropCatch will try to secure these domains the second these domains become available.

g. Corporate Partner. DropCatch gives the second backorder priority spot to a Corporate Partner by the name of HugeDomains. To remove conflict of interest, the Corporate Partner is not allowed to place Full Price backorders or participate in auctions. The only way Corporate Partners will interact with the system is through the Corporate Partner backorders. Corporate Partners do not look at or use any information from the system to determine what domain names to chase after. If you want a domain, be sure to place a full priced backorder on it as Corporate Partners get priority over any Discount Club backorders.

  1. Disputes. We want to address your concerns without needing a formal dispute or arbitration. Before filing a claim against DropCatch, you agree to try to resolve the dispute informally by contacting us at support@dropcatch.com. We will try to resolve the dispute by contacting you via email, but if we cannot resolve the dispute within thirty (30) days of submission, you and/or DropCatch agree to resolve any claims related to this Terms of Service through final and binding arbitration, unless you opt out as described below.

  2. Opt-Out. You can opt-out and decline this agreement to arbitrate by contacting DropCatch within thirty (30) days from the date that you first became subject to this arbitration provision (i.e.: the date you initially accepted this Agreement). You must write us at DropCatch, Attn: Opt-Out Arbitration, support@dropcatch.com. If you opt out, neither you nor DropCatch can require the other to participate in an arbitration proceeding.

  3. Arbitration Procedures. Except in the event you opt out of arbitration as described above, all claims shall be settled by binding arbitration in accordance with the commercial arbitration rules, in effect at the time the proceedings begin, of the American Arbitration Association. Any such controversy and/or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. All information relating to and/or disclosed by any party in connection with the arbitration of any disputes shall be treated by the parties, their representatives, and the arbitrator as proprietary business information and shall not be disclosed without prior written authorization of the disclosing party. The arbitration shall be held in the City and County of Denver, Colorado, USA or any other location we agree to. Each party shall bear the burden of its own counsel fees incurred in connection with any arbitration proceedings.

  4. Judicial Forum for Disputes. In the event that the agreement to arbitrate is found not to apply to you and/or your claim, you and DropCatch agree that any judicial proceeding (other than small claims actions) will be brought in the federal or state courts of the City of Denver, Colorado. Both you and DropCatch consent to the foregoing venue and jurisdiction.

  5. Governing Law; Jurisdiction. This Agreement shall be governed by the laws of the state of Colorado, U.S.A., without reference to its choice of law rules. The parties agree that the forum for dispute resolution under this Agreement shall be located exclusively in the courts of the state of Denver, Colorado, U.S.A. The parties specifically exclude the United Nations Convention of Contracts for the International Sale of Goods and the Uniform Computer Information Transactions Act from application to this Agreement.

  6. Additional Agreements. To use this site, you explicitly agree to the following agreements in addition to these Terms and Conditions, which are inherently connected to your purchase and registration of a domain name through the DropCatch.com and NameBright.com systems.

  1. Terms Modifications. DropCatch reserves the right to modify this Policy at any time. Any revised updates will be posted at https://www.dropcatch.com/legal/terms if and when the terms of this agreement change. Any change or modification will be binding and effective immediately upon the posting of the changes on DropCatch's website. It is your sole responsibility to periodically review this Policy, the Terms and Agreements, and any other relevant rules and regulations. DropCatch is not required to notify you directly each time policies are updated. If you find any changes unacceptable, you must immediately cease using this site and its services.
